Hong Kong PLC-annual maintenance

The basic annual costs to maintain a Hong Kong offshore private limited company in good standing starts from US$2,528 . The annual maintenance costs consist of the following items:

ITEMS WITH CONSTANTLY FIXED FEES:

1. Secretarial services: US$500.
2. Registered Office: US$500.
3. Payment of Business Registration Fee: US$315
4. Annual Return statutory filing fee: US$14
5. Corporate nominee shareholder/director: US$1,000
6. Virtual office complete package:US$1,200

 

ITEMS WITH VARIABLE FEES:

7. Book-keeping fee: NIL if not operating; fees to be determined according to the nature of business and number of transactions.
8. Statutory audit fee: USD999 if operation is minimal; exact fee will be determined according to a number of factors, such as the nature of business and amount of annual turnover etc.
9. Filing of a Profits Tax Return: US$200
10. Filing of Employer’s Return: US$80 for a NIL return. Additional fee of US$50 is required for each staff.

 

Note:

The annual retainer for provision of Company Secretary covers the following services:

• Provision of a named company secretary in the Companies Registry’s record
• Preparation and filing of Annual Return exclusive of annual return statutory filing fee;
• Filing of notice of change of registered office and business address;
• Filing of notice of change of directors and secretary;
• Maintaining the statutory books;
• Preparation of the directors’ and shareholders’ written resolutions to fulfill the annual general obligation.
